Charlotte is a solicitor within our corporate team.
Prior to joining Mincoffs, Charlotte trained and qualified at a corporate firm based in Newcastle city centre and then moved to a national firm with more than 30 office locations.
Charlotte specialises in corporate work for SME’s and the mid-market. She has a range of expertise in dealing with transactional work such as mergers and acquisitions (acting for buyers and sellers), private equity and venture capital, management buy out’s, investments (private or institutional) and company restructures/reorganisations (such as share buybacks, share for share exchanges and reductions of capital).
Charlotte has dealt with various matters that have a cross-over with insolvency (asset purchases of companies in administration and pre-packs) and can provide general corporate governance advice for shareholders and directors and can assist with EMI Schemes.
The industries in which Charlotte specialises include healthcare, nurseries and manufacturing, however the work she does is sector agnostic. Charlotte also has a keen interest in tech companies and female-founded businesses.
Recent examples of how Charlotte has supported clients:
- Assisted with advising the management team of Buston & Maughan Limited on private equity investment by Foresight Group for a minority stake.
- Advised a private investor on their cross-border investment into the US branch of a UK based ‘health-tech’ company.
- Advised the UK subsidiaries for a UK Group Restructuring Exercise involving 6 companies (1 South African subsidiary and 1 Swiss parent co). Involved repayment of intercompany loans, debt release, capital reductions, distributions in specie and bonus issues.
- Acting for the shareholders on the sale of a multi-million-pound laser cutting business.
- Advised an institutional investor on their supplemental investment into an eco-friendly baby care brand.
- Acting for the shareholders on the sale of a multi-million-pound landscaping business
